Terms of Service

Please read these terms carefully before using CivicWork. By using our services, you agree to be bound by these terms.

1. Acceptance of Terms and Applicable Law

Welcome to CivicWork. These Terms of Service ("Terms") govern your access to and use of our geolocation intelligence platform and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy.

Governing Law: These Terms are governed by and construed in accordance with the laws of Finland, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Finland.

EU Consumer Rights: If you are a consumer resident in the European Union, you benefit from mandatory consumer protection provisions that cannot be excluded by these Terms, in accordance with EU Directive 2011/83/EU on consumer rights and other applicable EU consumer protection legislation.

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time, and such modifications shall be effective immediately upon posting, subject to your rights as a consumer under applicable EU and Finnish law.


2. Description of Service

CivicWork is a geolocation intelligence platform that enables companies, municipalities, and organizations to:

  • Map and track locations with detailed geographic information
  • Manage infrastructure and location data
  • Create and manage public company profiles
  • Connect with other businesses and customers
  • Access specialized location mapping and tracking tools

3. User Accounts and Registration

3.1 Account Creation

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Types

We offer different account types (Company and Customer) with varying features and capabilities. Your access to features depends on your account type and subscription level.


4. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload, post, or transmit any content that is illegal, harmful, threatening, abusive, or defamatory
  • Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service or any other systems or networks
  • Use automated systems (bots, scrapers) to access the Service without our express written permission
  • Upload malicious code, viruses, or any other harmful computer code
  • Collect or harvest information about other users without their consent
  • Use the Service for any commercial purpose not expressly permitted by these Terms

5. User Content and Data

5.1 Ownership

You retain ownership of any content, data, or information you upload, post, or submit to the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your User Content solely for the purpose of providing and improving the Service.

5.2 Location Data

You are solely responsible for the accuracy and legality of any location data you submit. You represent and warrant that you have the right to submit such data and that it does not violate any third-party rights.

5.3 Public Profiles

If you choose to create a public company profile, certain information will be visible to other users. You are responsible for the content of your public profile and agree that it complies with these Terms.


6. Intellectual Property Rights

The Service, including its original content, features, functionality, and design, is owned by CivicWork and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our written permission.


7. Payment Terms

7.1 Subscription Fees

Certain features of the Service may require payment of fees. You agree to pay all fees associated with your subscription in accordance with the pricing and payment terms presented to you.

7.2 Billing

Fees are billed in advance on a recurring basis (monthly or annually) unless otherwise stated. All fees are non-refundable except as required by law or as otherwise stated in our refund policy.

7.3 Price Changes

We reserve the right to change our pricing at any time. We will provide notice of any price changes and give you the opportunity to cancel your subscription before the changes take effect.


8. Service Availability and Modifications

We strive to provide reliable service but do not guarantee that the Service will be available at all times. We may experience downtime due to maintenance, updates, or unforeseen circumstances.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.


9. Termination

9.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your account settings.

9.2 Termination by Us

We may suspend or terminate your account and access to the Service immediately, without prior notice, if you breach these Terms or engage in any fraudulent, abusive, or illegal activity.

9.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account and data, subject to our data retention policies and legal obligations.


10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected. We do not guarantee the accuracy, completeness, or usefulness of any information on the Service.


11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIVICWORK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising out of or relating to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.


12. Indemnification

You agree to indemnify, defend, and hold harmless CivicWork, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.


13. Governing Law and Dispute Resolution

Applicable Law: These Terms shall be governed by and construed in accordance with the laws of Finland, without regard to its conflict of law provisions. This includes but is not limited to the Finnish Contracts Act (Laki varallisuusoikeudellisista oikeustoimista 228/1929), the Finnish Consumer Protection Act (Kuluttajansuojalaki 38/1978), and applicable EU directives and regulations.

Jurisdiction: Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts of Finland. However, if you are a consumer resident in the European Union, you may also bring proceedings in the courts of your country of residence, in accordance with EU Regulation 1215/2012 (Brussels I Regulation).

Alternative Dispute Resolution: In accordance with EU Directive 2013/11/EU on alternative dispute resolution for consumer disputes, if you are a consumer, you may use the European Online Dispute Resolution platform (available at https://ec.europa.eu/consumers/odr) to resolve disputes. In Finland, you may also contact the Finnish Consumer Disputes Board (Kuluttajariitalautakunta).

Arbitration: For business users, disputes may be resolved through binding arbitration in Finland in accordance with the Arbitration Act of Finland (Laki välimiesmenettelystä 967/1992), except where prohibited by mandatory consumer protection law.


14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
